Hotel acquisition and leasing
Evaluate participation structures according to the property, its risks and the owner’s objectives.
Management lease or acquisition
A management agreement, lease and acquisition allocate control, investment and risk differently. The decision requires information about the property, available operating results, capital needs and existing restrictions. A preliminary review is not a commitment to purchase, finance or accept a property.
Prepare an initial review
Location, room count, physical condition, operating status and the desired transaction structure help determine whether to proceed. Financial and legal documents are exchanged later through appropriate confidentiality arrangements.
Agree the material conditions
Maintenance, investment, guarantees, insurance, permitted use, handover and termination require specific terms. Each party’s legal and tax advisers should review the relevant arrangements. Operating profit must be distinguished from cash available for rent, debt, capital expenditure and tax.
